Because of our size, ACA does not require a minimum transaction size or fee to cover overhead, as many firms do. Our fee is paid only at the successful closing of the transaction. Investor Relations: ACA works with several investor relations firms to develop the market awareness growing companies need. At ACA, we understand that companies need more than just capital, but exposure as well.
Market Support: ACA's principals have all previously been executives at larger investment banking/brokerage houses. As such, we offer the unique capacity to pass our clients on to larger institutions for other services such as investment banking, market making support and analyst coverage.
Financial advice: ACA understands that some clients may not be savvy to the equity market and its machinations. ACA solves this by advising its client on the inner workings of today's equity markets in a language that's easy to understand.

Why a Private Placement?
For many companies, public secondary offerings or bank debt are a viable means of obtaining needed funding. However, private financing can offer distinct advantages for growing companies that need capital in a timely manner.
Cost:
After accounting for all miscellaneous expenses, private financing is usually less expensive than a public secondary offering. Secondary offerings have significant hard costs, such as monthly retainers, travel expenses, attorney's fees, commissions, accounting fees, as well as less quantifiable, yet substantial, soft costs associated with market risk and the loss of key executives for weeks at a time. With a private transaction arranged by ACA, the Company pays no upfront fees or commissions. Fees are paid at the close of the transaction on a percentage basis in line with standard brokerage commissions. We earn our fees by arranging the financing and providing essential advice, guidance and other assistance at no additional charge to enhance the value of our service for both the Company and the investor.

At ACA, we handle all aspects of a financing from start to finish, allowing you to focus your time and effort running your business where it belongs, rather than attending road shows, broker lunches, and analyst meetings in each major financial center in the country. Once we determine what your requirements and preferences are, ACA will identify an Investor who best suits the Company, negotiate with the investor on your behalf, and even provide full legal documentation and support for your transaction. We will procure the financing you need on the terms you want with a minimum of inconvenience to you.
Timing:
At ACA, we understand the time-critical nature of raising capital. We specialize in flexibility, adaptability, and attention to detail and successfully obtaining funding quickly, so our clients receive the funding they need in the minimum possible time and at the minimum possible cost. We know that business in the real world often requires you to act quickly and decisively, because the window of opportunity will not stay open indefinitely. The rights to acquire a dynamic new product, the option to purchase a manufacturing facility, and the chance to establish your product as the standard by being first to market will not wait for you to weigh the risks against the rewards and then find capital over the next several months, whether through a lender or through a secondary offering. When you need your financing, ACA will be able to provide it in a timely fashion.

ACA incorporates the concept that an investment should be a cooperative effort in which all sides gain in the structure of each transaction. If the stock does not perform as well as expected, neither side should reap great benefits. On the other hand, both the Investor and the Company should be able to take advantage of an upswing in the stock.

We believe that the Company and Investor should be partners with an open line of communication, so we only work with quality funding institutions seeking overall investment value as opposed to a quick profit. We carefully screen our investors for trading activity and past performance long before we introduce them to Companies. ACA pairs our clients with investors who will hold substantial portions of their investment while trading responsibly. Just as every Company has its strengths and weaknesses, each investor has its own appetite for risk. Nonetheless, ACA will find the investor who is interested in your Company as a true opportunity over the long run, not a short term arbitrage play.
